1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer", "you") and Armologic Ltd., a company registered in the United Kingdom ("Company", "we", "us"), governing your access to and use of the ArmoWatch platform, website (armowatch.com), and related services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Service.

2. Service Description

ArmoWatch is an endpoint security platform that provides user activity monitoring, data loss prevention, insider threat detection, behavioural analytics, and AI governance capabilities. The specific features available to you depend on your subscription plan.

3. Account Registration

To use the Service, you must register for an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorised use of your account.

4. Subscription and Payment

4.1 Plans and Pricing

The Service is offered under various subscription plans as described on our pricing page. Prices are subject to change with 30 days' prior notice.

4.2 Payment Processing

All payments are processed by Paddle.com Market Ltd ("Paddle"), which acts as the Merchant of Record for all transactions. Paddle handles billing, taxation, invoicing, and payment processing. By subscribing, you also agree to Paddle's terms of service.

4.3 Free Trial

We may offer a free trial period. At the end of the trial, your subscription will automatically convert to a paid plan unless cancelled before the trial expires.

4.4 Cancellation

You may cancel your subscription at any time through your account dashboard. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial billing periods.

5. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall not:

• Use the Service to monitor employees without appropriate legal basis and notification as required by applicable law.
• Use the Service in violation of any applicable data protection, privacy, or employment legislation.
• Attempt to gain unauthorised access to the Service or its related systems.
• Reverse engineer, decompile, or disassemble any part of the Service.
• Use the Service to transmit malicious code or interfere with other users.
• Resell or redistribute the Service without written authorisation.

6. Intellectual Property

The Service, including all software, content, trademarks, and documentation, is owned by Armologic Ltd. and is protected by intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable licence to use the Service for your internal business purposes.

7. Data Protection

We process personal data in accordance with our Privacy Policy and applicable data protection legislation. Where you use the Service to process personal data of your employees or users, you act as the data controller and we act as the data processor. A Data Processing Agreement (DPA) is available upon request.

8. Licence Keys

Licence keys provided as part of your subscription are for your use only and must not be shared, distributed, or transferred to third parties. Each licence key is tied to a specific number of endpoints as defined by your subscription plan.

9. Service Level Agreement

We commit to 99.9% uptime for the ArmoWatch platform (excluding planned maintenance). Planned maintenance windows will be communicated at least 48 hours in advance. Service credits may be available for qualifying downtime events as described in our SLA documentation.

10. Limitation of Liability

To the maximum extent permitted by law, Armologic Ltd. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill arising out of or in connection with your use of the Service. Our total liability shall not exceed the amount paid by you in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Armologic Ltd. from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any applicable law.

12. Termination

We may suspend or terminate your access to the Service if you breach these Terms, fail to pay applicable fees, or if required by law. Upon termination, your right to use the Service ceases immediately. We will provide a 30-day window to export your data following termination.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or through the Service. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

14. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
